PALO ALTO, Calif.—(BUSINESS WIRE)—Aug. 18, 2005— Agilent Technologies Inc. (NYSE:A) today announced it has completed the acquisition of privately held Eagleware Corp., which does business as Eagleware-Elanix. Agilent and Eagleware-Elanix, a leading provider of system and circuit design software for the communications industry, had announced an acquisition agreement July 28. Financial details were not disclosed.

Eagleware-Elanix employees have joined Agilent's EEsof division, which is a leader in the high-frequency electronic design automation (EDA) market, especially in high-end tools. Eagleware-Elanix is noted for products that are easy to use and for its technological leadership in tools for high-frequency design synthesis. The companies' product lines are complementary.

"In comparing the records of both companies, it is clear that a large number of customers have a mix of both Agilent and Eagleware product lines," said Jim McGillivary, Agilent EEsof's general manager and vice president. "This validates our strategy of continuing to offer both product lines, as they are definitely serving two different needs. In particular, the Eagleware products are highly regarded in the market as easy-to-use, cost-effective native PC software suites. We have no intention of changing this."

"Eagleware-Elanix is an employee-owned company, and my discussions with our employees over the past week have shown overwhelming support for this acquisition," said Todd Cutler, president and CEO of Eagleware-Elanix. "A key benefit of the deal is that our GENESYS and ADS customers will see innovations from the combined resources of both companies."

New Eagleware-Elanix GENESYS Release To Ship Soon

Consistent with a smooth transition, Eagleware-Elanix also announced it is on schedule to ship the GENESYS 2005 suite of products to its installed base of customers. This is the company's most significant new release in several years. The new version includes WhatIF (a new frequency-planning tool); CAYENNE (a new time domain simulator); MIXER (a new synthesis module); enhancements to the linear, nonlinear, and system architecture simulators; new models; and a revamped user interface that sets an uncompromising standard for ease-of-use.

Eagleware-Elanix, established in 1985, has thousands of customers worldwide. The company provides system and circuit design software that leads in providing power, speed and accuracy to developers of communication products. Engineers worldwide rely on Eagleware-Elanix tools in the design of cellular telephones, radar systems, cable TV systems, satellite communications systems, mobile base-station equipment, Radio Frequency Identification (RFID) devices, and wireless networking products.

Eagleware-Elanix is headquartered in Norcross, Ga. Further information about Eagleware-Elanix and its products is available at www.eagleware.com.

Agilent EEsof EDA, a division within Agilent, is the leading supplier of high-frequency Electronic Design Automation (EDA) software.
